Public Offer Agreement

1. Terms and definitions

Service — the online service UseToolz.ru, located at https://usetoolz.ru, providing online tools for working with text, images, video, audio, PDF, code and artificial intelligence.

Provider — an individual who is a professional income tax payer (self-employed), whose details are specified in Section 3 of this Offer.

Customer — any legally competent individual who has accepted the terms of this Offer by paying for the services.

AI (artificial intelligence) — machine learning software algorithms used by the Service to generate text, images, video, music and to process photos. AI features are provided through third-party providers and do not guarantee the accuracy, completeness or reliability of results.

Credits — nominal units for accounting the volume of services provided by the Service under the subscription. Credits are not electronic money within the meaning of Federal Law No. 161-FZ "On the National Payment System" and are not a digital currency within the meaning of Federal Law No. 259-FZ "On Digital Financial Assets".

Subscription — a recurring subscription plan that provides the Customer with a monthly allotment of Credits and additional Service features.

Credit pack — a one-time purchase of a set number of Credits without a Subscription. Credits from packs do not expire and remain available until fully used.

Maximum mode — higher generation quality using more resource-intensive AI models. Available for Credits on all plans.

2. General

This document is a public offer (hereinafter the "Offer") in accordance with Art. 435 and Clause 2 of Art. 437 of the Civil Code of the Russian Federation (hereinafter the "Civil Code").

This agreement is a subscription agreement in accordance with Art. 429.4 of the Civil Code. The legal relations between the Provider and the Customer are governed by Chapter 39 of the Civil Code (paid provision of services). This agreement is not a license agreement. The subscription fee is paid for the right to access the Service's functionality and does not depend on the volume of actual use (Clause 2 of Art. 429.4 of the Civil Code).

The relations between the parties are governed by the Law of the Russian Federation "On Consumer Rights Protection" No. 2300-1 of 07.02.1992 (hereinafter the "Consumer Rights Protection Law").

The use of the Service's free tools is governed by the Terms of Service.

4. Subject of the Offer

The Provider undertakes to give the Customer access to the paid features of the Service, and the Customer undertakes to pay for the services in the manner and on the terms set out in this Offer.

Paid features include:

AI image generation (Basic and Maximum modes)
AI video generation
AI music generation (creating tracks, covers, enhancement)
Photo quality enhancement: upscaling, restoration, colorization, background removal
Advanced AI chat features (Maximum mode)
Other tools whose Credit cost is listed on the tool's page

5. Acceptance Procedure

Acceptance of this Offer is the payment for any paid service of the Service (Art. 438 of the Civil Code). The agreement is deemed concluded from the moment funds are credited to the Provider's account.

6. Plans and Pricing

Subscriptions

Free (Free) — free. Limited access to AI tools within daily limits. Maximum mode, video and music generation, and photo restoration are unavailable without Credits.
Plus (Plus) — 499 RUB/month (4 990 RUB/year). 350 Credits per month. AI chat, rewriter and summarizer are included in the plan. Image generation, photo processing, video and music cost Credits. Access to Maximum mode.
Pro (Pro) — 1 299 RUB/month (12 990 RUB/year). 1,000 Credits per month. Everything in Plus + image generation and photo processing are included in the plan. REST API access.
Ultra (Ultra) — 2 999 RUB/month (29 990 RUB/year). 2,500 Credits per month. Everything in Pro with extended limits. Priority processing, higher API rate limit, early access to new tools.

50 Credits — 79 RUB
100 Credits — 149 RUB
350 Credits — 449 RUB
750 Credits — 899 RUB

Current prices, per-operation Credit costs and plan terms are listed on the Pricing. Price change procedures are specified in Section 10 of this Offer.

7. Credit system

Credits are the unit for accounting the volume of prepaid services. Each use of a paid tool deducts a certain number of Credits. The Credit cost of operations is listed on the Pricing.

Credits included in a Subscription are provided for a calendar month. Unused Subscription Credits do not carry over to the next period.

Credits from packs do not expire and remain on the Customer's balance until they are used.

8. Payment procedure

Payment is made in Russian rubles through the Robokassa payment service (Robokassa LLC). The Provider does not store or process the Customer's bank card data.

The moment of payment is the receipt of confirmation from the payment service. Credits are added to the Customer's balance instantly upon confirmation.

The Provider issues receipts in accordance with the requirements of professional income tax legislation.

9. Service Delivery

Services are provided through the Service's web interface at usetoolz.ru. To use the paid features, the Customer must be registered and signed in.

The service of providing access to the Service's functionality is deemed rendered at the moment Credits are added to the Customer's balance. The Provider's obligations are deemed fulfilled regardless of whether the Customer requested the corresponding performance (Clause 2 of Art. 429.4 of the Civil Code).

10. Auto-Renewal and Recurring Payments

By subscribing, the Customer consents to automatic recurring charges from the bank card or other payment method used for the initial payment.

Payment Schedule

For monthly subscriptions, charges are made every 30 (thirty) calendar days from the date of the initial payment.
For annual subscriptions, charges are made every 365 (three hundred sixty-five) calendar days from the date of the initial payment.
The charge amount corresponds to the selected plan price at the time of renewal. Charges are made in Russian Rubles.

Notifications

In accordance with Federal Law No. 376-FZ, the Service Provider sends the Customer an email notification no later than 3 (three) days before the next charge, specifying:

the amount of the upcoming charge
the charge date
how to cancel auto-renewal

Cancellation of Auto-Renewal

The Customer may cancel auto-renewal at any time using one of the following methods:

In the dashboard on the "Subscription & Credits" page — click "Cancel auto-renewal"
By sending a request to admin@usetoolz.ru

Upon cancellation of auto-renewal, the subscription remains active until the end of the paid period. No cancellation fee is charged.

Price Changes

The Service Provider may change plan prices by notifying Customers via email no later than 14 (fourteen) days before the new prices take effect. If the Customer does not cancel the subscription before the next charge date, this constitutes acceptance of the new price.

11. Rights and obligations of the parties

The Provider undertakes to:

Provide access to the paid features of the Service
Add Credits after payment confirmation
Notify of material changes to the terms of the Offer
Handle complaints within the established time limits

The Customer undertakes to:

Pay for the services on time
Not use the Service to create content that violates the laws of the Russian Federation
Not take any actions aimed at disrupting the Service
Not share account access with third parties

12. Cancellation of services and refunds

Subscription

A Subscription is a subscription agreement (Art. 429.4 of the Civil Code). The subscription fee is paid for the right to access the Service's functionality regardless of the volume of actual use. At the end of the paid period, unused Subscription Credits are forfeited.

Upon early cancellation of a Subscription (Art. 32 of the Consumer Rights Protection Law), the cost of the remaining unused period is refundable, less the value of Credits used and the Provider's actual costs incurred (payment system fees, server infrastructure and API service costs).

Credit Packages

Credits from packs do not expire. Upon cancellation of services, the value of unused Credits is refundable, less the Provider's actual costs incurred.

Refund procedure

To request a refund, the Customer sends an application to admin@usetoolz.ru specifying the account email. The refund is made within 10 (ten) business days to the payment details from which the payment was made.

13. Fair Use

A Subscription includes access to AI tools in a volume sufficient for personal use. The total volume of processed requests under the subscription is limited according to the chosen plan.

When the plan's resource limit is reached, the Provider has the right to:

limit the request processing speed (progressive throttling)
limit access to resource-intensive features until the start of the next billing period
offer the Customer to buy additional Credits or upgrade to a plan with a larger allotment

When access to resource-intensive features is limited, the text-based AI tools (chat, rewriter, summarizer) remain available. Full access is restored automatically when the subscription renews or additional Credits are purchased.

The specific fair use parameters are listed on the pricing page. The Provider has the right to change these parameters at any time by updating the pricing page.

14. Limitation of liability

The Service is provided "as is" — that is, in the condition and with the functionality available at the time of use, without any express or implied warranties, including warranties of fitness for a particular purpose.

The Provider does not guarantee:

uninterrupted and error-free operation of the Service
availability of the Service at all times (maintenance and updates are possible)
the accuracy, completeness and reliability of results generated by artificial intelligence
the safekeeping of generation results — the Customer must save the results obtained on their own

The Provider is not liable for:

damages arising from force majeure circumstances
failures of third-party services (AI providers, payment systems, hosting)
temporary unavailability of the Service due to maintenance
the Customer's actions performed using the Service
content created by the Customer using the Service's tools

15. Personal data

Processing of the Customer's personal data is carried out in accordance with the Privacy Policy and Federal Law No. 152-FZ "On Personal Data".

16. Dispute Resolution

All disputes are resolved through negotiation. Pre-trial claims are mandatory: the claim review period is 30 (thirty) calendar days from receipt. Claims should be sent to admin@usetoolz.ru.

If a dispute cannot be resolved out of court, it is referred to court in accordance with the laws of the Russian Federation.

17. Offer Validity and Amendments

The Offer takes effect upon publication on the website and remains in force indefinitely.

The Provider has the right to change the terms of the Offer, notifying Customers by publishing a new version on the website. Continued use of the paid services after the changes are published constitutes acceptance of the new terms.
